These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Tradie Capital LLC, doing business as Tradie (“Tradie Capital,” “Tradie,” “Company,” “we,” “us,” or “our”), a limited liability company organized under the laws of the United States.
By creating an account, accessing, or using the Tradie mobile application, website, APIs, or any related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease all use of the Service.
You represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
Tradie is an AI-powered quantitative research platform that provides software tools for building, backtesting, analyzing, and monitoring trading strategies using artificial intelligence and algorithmic methods. The Service includes, but is not limited to:
(a) AI-powered strategy construction tools (“Strategy Architect,” “Strategy Optimizer”); (b) historical backtesting and performance simulation engines; (c) paper trading and simulated deployment environments; (d) market data visualization, options analytics, and educational content; (e) portfolio monitoring dashboards and performance tracking; (f) integration capabilities with third-party brokerage services.
The Service is designed as a technology tool and educational platform. It is expressly NOT an investment advisory service, broker-dealer, registered investment adviser, financial planner, or fiduciary of any kind.
THIS SECTION IS CRITICALLY IMPORTANT. PLEASE READ CAREFULLY.
3.1. NOT FINANCIAL ADVICE. Nothing contained in the Service constitutes investment advice, financial advice, trading advice, tax advice, legal advice, or any other form of professional advice. All content, including AI-generated strategies, backtest results, analytics, options payoff diagrams, educational articles, performance metrics, signals, and any other information provided through the Service, is for INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY.
3.2. NOT A BROKER-DEALER. Tradie Capital LLC is NOT a registered broker-dealer with the U.S. Securities and Exchange Commission (SEC) or any state securities regulatory authority, and is NOT a member of the Financial Industry Regulatory Authority (FINRA) or the Securities Investor Protection Corporation (SIPC). We do not execute, clear, or settle securities transactions. We do not hold, custody, or transmit customer funds or securities.
3.3. NOT AN INVESTMENT ADVISER. Tradie Capital LLC is NOT registered as an investment adviser with the SEC or any state regulatory authority under the Investment Advisers Act of 1940. The AI-generated strategies, optimization suggestions, and analytical tools provided by the Service do not constitute personalized investment recommendations tailored to your individual financial situation, investment objectives, or risk tolerance.
3.4. SUBSTANTIAL RISK OF LOSS. Trading and investing in financial instruments, including but not limited to stocks, options, futures, cryptocurrencies, and other securities, involves SUBSTANTIAL RISK OF LOSS and is not suitable for all investors. You may lose some or all of your invested capital. Options trading involves special risks and is not appropriate for all investors. Past performance, whether actual or indicated by simulations, backtests, or historical testing, is NOT indicative of future results.
3.5. YOUR SOLE RESPONSIBILITY. Any investment or trading decisions you make are YOUR SOLE RESPONSIBILITY. You should consult with a qualified, licensed financial advisor, broker, or other financial professional before making any investment decisions. Tradie Capital LLC, its officers, directors, employees, agents, and affiliates will not be held responsible or liable for any decisions you make based on information provided through the Service.
3.6. NO GUARANTEE OF RESULTS. We make absolutely no guarantee, representation, or warranty that: (a) any strategy generated by our AI tools will be profitable; (b) any backtest results will be replicated in live trading; (c) any market data or analytics will be accurate, complete, or timely; (d) the Service will be uninterrupted, error-free, or free from technical failures.
3.7. LIVE TRADING LIABILITY. Tradie Capital LLC is not liable for any financial losses incurred from deploying, executing, or using any strategies — whether AI-generated or user-created — in live or paper trading environments. All strategies are provided as research tools only. You assume full responsibility for any trades executed through connected brokerage accounts.
3.8. MARKET DATA DISCLAIMER. Market data provided through the Service may be delayed up to 15 minutes or more. Data is sourced from major exchanges and consolidated feeds including the New York Stock Exchange (NYSE), NASDAQ, Chicago Board Options Exchange (CBOE), and other regulated market centers. Tradie does not guarantee the accuracy, completeness, or timeliness of any market data.
4.1. You are responsible for maintaining the confidentiality and security of your account credentials. You agree to immediately notify us of any unauthorized access to or use of your account.
4.2. You accept full responsibility for all activities that occur under your account, whether or not authorized by you.
4.3. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
4.4. You shall not: (a) share your account credentials; (b) create multiple accounts; (c) use the Service for any unlawful purpose; (d) attempt to reverse engineer, decompile, or disassemble any part of the Service; (e) use automated tools to scrape data from the Service; (f) interfere with or disrupt the integrity or performance of the Service; (g) attempt to gain unauthorized access to any systems or networks connected to the Service.
5.1. The Service utilizes artificial intelligence and machine learning models to generate trading strategies, optimization suggestions, market analyses, and educational content. AI-generated output may contain errors, inaccuracies, or flawed reasoning. You must independently evaluate and verify all AI-generated content before relying upon it.
5.2. AI models are trained on historical data and may not accurately predict or account for future market conditions, black swan events, regulatory changes, or unprecedented market behavior.
5.3. We do not warrant the accuracy, reliability, completeness, or timeliness of any AI-generated content. AI output is provided “AS IS” without any warranty of any kind.
6.1. Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) through our third-party payment processor, Stripe, Inc.
6.2. You authorize us to charge the payment method on file for all applicable fees. All fees are non-refundable except as expressly stated herein or as required by applicable law.
6.3. We reserve the right to modify subscription pricing at any time with 30 days' prior notice. Continued use after a price change constitutes acceptance.
6.4. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
7.1. The Service, including all software, algorithms, AI models, designs, text, graphics, logos, icons, images, and the “Tradie” brand name, is the exclusive property of Tradie Capital LLC and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.
7.2. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal, non-commercial purposes in accordance with these Terms.
7.3. You retain ownership of any trading strategies you create using the Service, but grant us a non-exclusive, royalty-free license to use anonymized and aggregated data derived from your use to improve our Service.
8.1. The Service may integrate with or provide access to third-party services, including brokerage platforms, market data providers, payment processors, and authentication services. We are not responsible for the availability, accuracy, or reliability of any third-party services.
8.2. Your use of third-party services is subject to those parties' own terms of service and privacy policies. We have no control over and assume no responsibility for third-party content, policies, or practices.
8.3. If you connect a brokerage account through the Service, you acknowledge that: (a) any trades executed are between you and your broker; (b) Tradie Capital LLC is not a party to those transactions; (c) we bear no responsibility for trade execution, order routing, settlement, or brokerage service quality.
9.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADIE CAPITAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, TRADING LOSSES, INVESTMENT LOSSES, OR ANY OTHER FINANCIAL LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
9.2. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
9.3. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT TRADIE CAPITAL LLC SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY FINANCIAL LOSSES, TRADING LOSSES, INVESTMENT LOSSES, OR DAMAGES OF ANY KIND RESULTING FROM: (A) YOUR TRADING OR INVESTMENT DECISIONS; (B) YOUR RELIANCE ON AI-GENERATED STRATEGIES, BACKTEST RESULTS, OR ANY OTHER OUTPUT OF THE SERVICE; (C) ERRORS, INACCURACIES, OR DELAYS IN MARKET DATA; (D) TECHNICAL FAILURES, SERVICE INTERRUPTIONS, OR SOFTWARE BUGS.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR THAT THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PURPOSE.
You agree to indemnify, defend, and hold harmless Tradie Capital LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your trading or investment activities; (e) any content you submit through the Service; (f) your infringement of any third-party rights.
12.1. MANDATORY ARBITRATION. Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or your relationship with Tradie Capital LLC shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, rather than in court.
12.2. CLASS ACTION WAIVER. YOU AND TRADIE CAPITAL LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
12.3. JURY TRIAL WAIVER. BY AGREEING TO ARBITRATION, YOU AND TRADIE CAPITAL LLC EACH WAIVE THE RIGHT TO A JURY TRIAL.
12.4. GOVERNING LAW. These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.
13.1. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.
13.2. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Sections 3 (Financial Disclaimer), 7 (Intellectual Property), 9 (Limitation of Liability), 10 (Disclaimer of Warranties), 11 (Indemnification), and 12 (Dispute Resolution).
We reserve the right to modify these Terms at any time at our sole discretion. Material changes will be communicated via in-app notification or email at least 30 days before taking effect. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must discontinue use of the Service.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with the Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Tradie Capital LLC regarding the Service and supersede all prior agreements and understandings.
